TERMS OF SERVICE

The Ghostwriting Lab, LLC

Effective Date: December 12, 2025

1. PARTIES AND SERVICES

These Terms of Service ("Agreement") govern the relationship between The Ghostwriting Lab, LLC, a North Carolina limited liability company ("Company," "we," "us"), and the client ("Client," "you") for newsletter ghostwriting services.

2. SERVICE DESCRIPTION

Company provides premium newsletter ghostwriting services including but not limited to: voice capture, content strategy, newsletter writing, editing, publishing assistance, and performance analytics as outlined in the specific service package selected by Client.

3. PAYMENT TERMS

Setup Fee: A one-time setup fee of $5,000 is required before services commence, covering initial voice capture, strategy development, and onboarding processes.

Monthly Fees: Monthly service fees are due on the 1st of each month, or paid in full upfront for the entire 6-month contract period.

Late Payments: Payments not received within 10 days of the due date will incur a late fee of $150. Services may be suspended after 15 days of non-payment.

Accepted Payment Methods: Stripe and PayPal.

No Refunds: All payments are non-refundable. If Client cancels mid-contract, no refunds will be provided for unused portions of the service period.

4. CLIENT RESPONSIBILITIES

Timely Feedback: Client agrees to provide feedback and approvals within 48 hours of receiving drafts.

Delayed Feedback Policy: If Client fails to provide timely feedback, Company and Client will discuss whether to: (a) proceed with publication using Company's best judgment, or (b) delay publication until feedback is received. Delays caused by Client feedback will not extend the contract period or entitle Client to refunds.

Information Provision: Client agrees to provide necessary information, access, and materials required for service delivery.

5. REVISIONS AND SCOPE

Revisions: Company provides one round of revisions per draft to ensure Client satisfaction and accurate voice capture. Additional revisions beyond the first round may be provided at Company's discretion or quoted as additional work.

Scope Changes: Any work requested outside the agreed service scope will be quoted separately and requires written approval before proceeding.

Content Restrictions: Company reserves the right to decline writing content that is political in nature or touches on cultural flashpoints. Company does not provide rush jobs or emergency requests outside normal business operations.

6. INTELLECTUAL PROPERTY

Content Ownership: Upon full payment, Client owns all rights to the completed newsletter content.

Portfolio Usage: Company retains the right to use completed work in portfolios, case studies, and marketing materials in anonymized form that protects Client's confidential information and ghostwriting relationship.

Confidentiality: Company agrees to maintain strict confidentiality regarding Client's identity as it relates to ghostwriting services and any confidential information shared during the engagement.

7. CONFIDENTIALITY AND NON-DISCLOSURE

Both parties acknowledge that confidential information may be shared during this engagement. Each party agrees to:

  • Maintain confidentiality of all proprietary and sensitive information

  • Not disclose confidential information to third parties without written consent

  • Use confidential information solely for the purposes of this engagement

  • Return or destroy confidential information upon contract termination

8. LIABILITY AND WARRANTIES

Service Warranty: Company warrants that services will be performed with professional skill and care consistent with industry standards.

Limitation of Liability: Company's total liability for any claims arising from this agreement shall not exceed the total amount paid by Client for services. Company shall not be liable for indirect, incidental, or consequential damages.

Client Responsibility: Client is responsible for reviewing and approving all content before publication. Company is not liable for consequences of published content that was approved by Client.

9. TERM AND TERMINATION

Contract Period: Initial service period is 6 months from the start date.

Termination: Either party may terminate this agreement with 30 days written notice. Upon termination, Client remains responsible for all fees incurred through the termination date.

Survival: Confidentiality, intellectual property, and payment obligations survive termination.

10. DISPUTE RESOLUTION

Mediation/Arbitration: Any disputes arising from this agreement shall first be addressed through good faith negotiation. If unresolved, disputes shall be settled through binding arbitration in North Carolina under the rules of the American Arbitration Association.

Governing Law: This agreement is governed by North Carolina law.

11. GENERAL PROVISIONS

Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements.

Modifications: Changes to this agreement must be in writing and signed by both parties.

Severability: If any provision is deemed unenforceable, the remainder of the agreement remains in effect.

Force Majeure: Neither party is liable for delays or failures due to circumstances beyond their reasonable control.

12. ACCEPTANCE

By signing below or beginning services, Client acknowledges reading, understanding, and agreeing to these Terms of Service.
